AS9100 PURCHASE ORDER TERMS & CONDITIONS

APPLICABILITY

These Supplier Quality Flowdown Requirements are incorporated by reference into each Gearles Designs & MFG purchase order.

A requirement applies when triggered by the product, material, process, or service ordered or by the purchase order and its referenced drawings, specifications, customer requirements, or other contract documents. The supplier is responsible for the conformity of all products and services provided, including work performed by sub-tier suppliers. When applicability is unclear, the supplier shall obtain clarification from Gearles Designs & MFG before proceeding.

A. SUB-TIER CONTROL
The supplier shall flow down all applicable requirements and provisions of the Gearles Designs & MFG purchase order to its sub-tier suppliers. This includes applicable special-processor requirements, customer approvals, key characteristics, right-of-access requirements, and other requirements identified by the purchase order or referenced documents.

B. RIGHT OF ACCESS
During performance of the purchase order, the supplier’s quality, inspection, manufacturing processes, facilities, and applicable records are subject to review, verification, and analysis by Gearles Designs & MFG, its customers, and Government or Regulatory Agency representatives as applicable. This requirement applies to the supplier and applicable sub-tier facilities and shall be flowed down as required.

C. SUPPLIER NONCONFORMANCE AND CORRECTIVE ACTION
The supplier shall notify Gearles Designs & MFG of nonconforming product or material. Requests for departures from drawings, specifications, or other purchase order requirements shall be submitted to Gearles Designs & MFG for written approval before shipment. Nonconforming product shall not be shipped without such approval. If a nonconformance is discovered after shipment, the supplier shall promptly notify Gearles Designs & MFG of the affected quantity, shipment information, and extent of the nonconformance. The supplier shall take appropriate action to contain the nonconformance and prevent recurrence. Formal corrective action shall be provided when requested by Gearles Designs & MFG. Product shipped under an approved deviation or nonconformance shall be identified on the shipping documentation by the applicable approval or deviation number.

D. RECORDS RETENTION
The supplier shall retain records supporting fulfillment of the purchase order, including required certifications, test reports, and inspection records, for at least ten (10) years after completion of the purchase order unless otherwise specified by the purchase order, customer, statutory, or regulatory requirement. After the retention period, records shall be securely disposed of unless return, transfer, or extended retention is required.

E. CHANGES TO PROCESS OR PRODUCT
The supplier shall notify Gearles Designs & MFG of applicable changes to product or process, changes of suppliers, and changes of manufacturing facility location, and shall obtain Gearles Designs & MFG approval when required.

F. EXPORT / IMPORT
U.S. export law as contained in the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR) is applicable to technical information submitted with or during a purchase order or RFQ when such information is export controlled. Export-controlled technical information shall not be placed in the public domain, exported from the United States, or provided to a foreign person without required authorization. If a purchase order will result in an import shipment for which Gearles Designs & MFG will be the importer of record, approval for the foreign procurement shall be obtained from the buyer before shipment.

G. DOMESTIC SPECIALTY METALS / PURE TIN
When applicable to the purchase order, the supplier shall comply with domestic specialty-metals requirements and shall flow those requirements to applicable sub-tier suppliers. When a pure-tin restriction applies, products shall not contain pure tin as defined by the applicable purchase order or customer requirement. The existing Gearles definition of pure tin is material greater than 97% tin by weight or a tin alloy containing less than 3% lead by weight.

H. PREVENTION OF COUNTERFEIT PARTS
The supplier shall not deliver counterfeit products or products containing counterfeit items to Gearles Designs & MFG. Approved or authorized sources shall be used when applicable, and traceability sufficient to support product authenticity shall be maintained. Suspect or counterfeit product shall be identified, segregated, and controlled to prevent its use or re-entry into the supply chain. The supplier shall promptly notify Gearles Designs & MFG of suspected or confirmed counterfeit product affecting the purchase order.

I. SUPPLIER EVALUATION
Gearles Designs & MFG monitors supplier performance using quality acceptance and on-time-delivery data. Results may becommunicated to the supplier and may affect continued approval status. Corrective action may be required when performance is unacceptable.

J. EMPLOYEE AWARENESS
The supplier shall ensure that personnel performing work affecting Gearles Designs & MFG product or service are aware of their contribution to product or service conformity, their contribution to product safety, and the importance of ethical behavior.

ADDITIONAL QUALITY REQUIREMENTS – WHEN APPLICABLE

K. TRACEABILITY
Evidence of traceability shall be maintained as required by the purchase order or applicable specification. Certifications, purchase records, shipping records, or equivalent documentation shall contain sufficient information to provide traceability, such as date, supplier identity, lot or heat number, serial number, or other applicable traceable feature.

L. CERTIFICATE OF CONFORMANCE
When required by the purchase order, each shipment shall include a Certificate of Conformance stating that applicable contractual requirements, specifications, and referenced documents have been met. The certificate shall identify the supplier, Gearles Designs & MFG purchase order number, quantity shipped, part number, and the name or signature and title of an authorized representative. Purchase-order line number and revision shall be included when applicable.

M. CHEMICAL TEST REPORTS
When required by the purchase order, a legible chemical test report shall accompany the shipment. The report shall identify the applicable specification, provide the required test results, and contain the name or signature and title of an authorized representative of the facility performing the test.

N. IDENTIFICATION AND MARKING
Parts, containers, boxes, or lots shall be identified and marked in accordance with the Gearles Designs & MFG purchase order and applicable drawing, specification, or customer requirement.

O. SHELF-LIFE MATERIAL
When shelf-life requirements apply, material shall meet the applicable shelf-life requirements at the time of receipt. Unless otherwise specified by the material specification or purchase order, applicable containers shall identify the manufacturer, expiration date, and storage-temperature requirements.

P. RAW MATERIAL CERTIFICATIONS
When required by the purchase order, each shipment of raw material shall be accompanied by legible material certifications furnished by the raw-material supplier or an independent test laboratory. Certifications shall agree with the applicable raw-material
specification and shall identify the authorized issuing organization or representative.

Q. CORROSION PROTECTION
Material subject to corrosion shall be packaged, protected, or coated as necessary to prevent corrosion during processing, transportation, and storage.

R. PACKAGING AND HANDLING
The supplier shall package and handle product using methods and materials necessary to prevent deterioration, contamination, or damage. Packaging shall consider conditions at the supplier’s facility, transportation to destination, and expected or specified conditions at the destination.

S. HEAT TREAT REPORTS
When required by the purchase order, each shipment shall include a legible heat-treatment report identifying the applicable drawing or specification requirements and the heat-treatment cycle used, including date, time, temperature, and quench method as applicable. Required inspection records shall accompany the report, and the report shall identify the authorized facility representative.

T. CERTIFICATE OF ORIGIN
When required by the purchase order, the supplier shall provide a Certificate of Origin identifying the supplier and producer as applicable, description of the goods, country of origin, applicable tariff or classification information when required, and the name or signature and title of an authorized representative.

U. FIRST ARTICLE INSPECTION / AS9102
When First Article Inspection is required by the purchase order or customer requirement, first article inspection data shall accompany the product and shall meet the specified requirements. AS9102 shall apply only when required by the purchase order or customer. Required characteristics shall be verified and recorded with actual results where applicable. Required special-process certifications shall be included. When an approved inspection fixture provides a go/no-go result, the applicable fixture identification may be recorded in place of an actual measured value.

V. REWORKED OR REPLACEMENT MATERIAL
When returning previously rejected product to Gearles Designs & MFG, the supplier shall reference the applicable rejection or nonconformance notice on the shipping documentation and shall identify whether the product was reworked or replaced.

W. INTELLECTUAL PROPERTY AND CONFIDENTIAL INFORMATION
The supplier shall protect data, information, drawings, documents, and other proprietary information received from Gearles Designs & MFG and shall not use or disclose such information except as required to perform the purchase order or as otherwise authorized by Gearles Designs & MFG.
